for Making a Charitable Donation

  1. 1. GENERAL PROVISIONS

    1. 1.1. The public offer about giving a free voluntary donation (hereinafter — «the Offer»), under clause 641 of the Ukraine Civil Code, is an offer of CHARITABLE ORGANIZATION «Charitable fund „Charity Lab Foundation“», ID identification code 45589884, (hereinafter — «the Fund») to an undefined circle of capable persons and legal persons of private law, who voluntary does charity work (hereinafter each of such persons — «the Sponsorial»), to set this agreement about giving a free voluntary donation (hereinafter — «the Agreement») on term listed in this Offer with every Sponsorial, who will address.

    2. 1.2. This Offer becomes effective from the moment it is published on the Fund’s web page on the Internet (reference: https://www.charitylabfoundation.org hereinafter – «the Site»). This Offer is open-ended and can be changed or recalled by the Fund at any moment (until its acceptance by the Sponsorial) using appropriate information allocated on the Site.

    3. 1.3. The Fund can make agreements about giving free voluntary donations in different ways and/or under other terms, which are listed in this Offer. The Sponsorial can separately address the Fund about making such an agreement.

  2. 2. SUBJECT OF THE AGREEMENT

    1. 2.1. The subject of this Agreement is a free and voluntary transfer of resources from the Sponsorial to the Fund’s ownership by making a voluntary donation for the statute Fund activity accomplishment. The Sponsorial decides on his own the size of the voluntary donation. The Fund on its own decides how to use voluntary donation as a part of its statute activity - unless other is set by the Sponsorial in terms of this Agreement. The subject of the Agreement is not to gain profit directly or indirectly by any Party of this Agreement.

    2. 2.2. The Donor resources giving, under this Agreement, is determined as a voluntary donation under clause 6 of the Law of Ukraine “On Charity Work and Charitable Organisations”.

    3. 2.3. As per his will, the Donor can point out the intended purpose of his voluntary donation by choosing among programs (projects), and aims, named by the Foundation.

    4. 2.4 In case the amount specified in the project’s fundraising goal is not fully collected, the amount will be used to implement this project in the corresponding amount that was collected or will be used to implement other projects of the Fund. The Donor agrees to the redistribution/use in other projects of the funds sent by him in accordance with clauses 2.1. - 2.3., 5.2., 6.1.

    5. 2.5. In case of non-implementation or if there are remaining funds, the funds will be used to implement other projects of the Foundation in accordance with the available applications for assistance to the Foundation.

  3. 3. FUND ACTIVITY

    1. 3.1. The Foundation is making its charities under its Charter, especially in the following spheres:

      • Humanitarian aid for individuals

      • Public fundraising for charitable foundations

      • Organization of charitable events and initiatives

      • Technological support for nonprofit organizations

      • Promotion of charitable foundations and assistance in the development of nonprofit programs

      • Advancement of charitable culture

      • Provision of charitable aid to individuals affected by armed aggression, armed conflict, military actions (including their repulsion and containment), special period measures, emergency or martial law regimes, anti-terrorist operations, special operations, national security and defense measures, and other beneficiaries

      • Providing charitable assistance to hospitals and other healthcare institutions, patients, persons with disabilities, elderly individuals, and other people in difficult life circumstances

      • Assistance to individuals, government bodies, local authorities, and organizations carrying out functions to protect Ukraine's sovereignty and territorial integrity

      • Free transfer of monetary funds, medicines, food products, prepared meals, and any other assets to the individuals above and other beneficiaries

      • Promotion of volunteerism and volunteer activities

    2. 3.2. The Fund activity does not include the aim to gain a profit.

  4. 4. ENTRY OF DONATION

    1. 4.1. The Sponsorial himself chooses the size of a voluntary donation.

    2. 4.2. The voluntary donation is free and cannot be the subject of further call-back to the Sponsorial.

    3. 4.3. According to the Offer and/or the Agreement voluntary donations made by the Sponsorial are used by the Fund for carrying out and provision charities (lines and aims fulfillment of charity and voluntary programs) of the Fund according to the Charter and legislation of Ukraine. The Sponsorial confirms the intended purpose of his donations.

    4. 4.4. Payment methods of voluntary donations:

      • single payment;

      • subscription which provides monthly/yearly payments of different sizes.

    5. Such a subscription can be canceled at any moment through the user’s bank services (for example, Privat24, Apple Pay, Google Play, etc.).

  5. 5. RIGHTS AND DUTIES OF THE PARTIES

    1. 5.1. The Fund is obliged to use the resources of voluntary donations of the Sponsorial according to the legislation of Ukraine and only under its statute activities.

    2. 5.2. The Fund can itself set the ways of using voluntary donations according to its statute activities and legislation of Ukraine, except the causes when the Sponsorial sets the specific aim of his donation. Accordingly, when the specific aim of the donation is not set by the Sponsorial, it is assumed, that the donation is done for making statute activity of the Fund.

    3. 5.3. The Sponsorial has the right to get information about the usage of his donation. For that purpose, the Fund can show on its site monthly financial statements, which also have information about (I) the sum of donations that the Fund received during the accounting period, and (II) the expenses of the Fund during the accounting period. With the Sponsorial letter of inquiry, the Fund can also confirm the proper use of voluntary donation with additional documents. Access to the statements about using voluntary donations can be given by the Fund in terms and conditions under existing legislations of Ukraine and this Offer.

    4. 5.4. By giving voluntary donations, the Donor without any qualifications asserts (I) his legal capacity, (II) free will of competence forming, (III) that the subject of voluntary donation is not under banning, arrest, in pawn, encumbered by any third party rights and was not gained with contravention of the Law of Ukraine “On Prevention and Counteraction to Legalisation (Laundering) of Criminal Proceeds, Terrorist Financing and Financing of Proliferation of Weapons of Mass Destruction”. In case, when the Foundation raises uncertainty or reasonable doubts about these claims, the Foundation has the right to ask, and the Donor must give all necessary evidence that proves these statements.

  6. 6. ACCEPT

    1. 6.1. Accept is total and absolute acceptance of a Public Offer by making actions of money transaction with the help of payment forms and methods set on the Site, and by money transfer to the Fund transaction account through banks. The Moment of Accept is the date of making a money transaction and/or money entering the bank account of the Fund.

    2. 6.2. Offer Accept means that the Sponsorial agrees with all its terms and fully understands and agrees with the Subject of Agreement, with the aim of public money gathering and with the right of the Fund to use part of the Sponsorial donation for Fund administrating in the amount not exceeding that provided for by the Law of Ukraine "On charitable activities and charitable organizations".

    3. 6.3. The Sponsorial and the Fund under clauses 639, 641, and 642 of the Civil Code of Ukraine agree that since the moment of Accept, the Agreement is regarded as concluded. Hereby, the Parties agree that non-compliance of the written form of the competence does not mean its invalidity.

  7. 7. PROCEDURE, TERM AND PLACE OF FUNDRAISING

    1. ​​7.1. The Foundation provides the Donor with the opportunity to make a gratuitous voluntary charitable donation via electronic payment on the Site and/or by transferring funds to the bank account of the Foundation and/or its partners.

    2. 7.2. The Donor independently chooses the amount and format of the donation: one-time or recurring (with the ability to cancel recurring donations at any time).

    3. 7.3. A charitable donation is voluntary and is not subject to refund to the Donor.

    4. 7.4. Public fundraising continues until the Foundation ceases its activities (including through liquidation), unless a different term is determined by the decision of the Foundation.

  8. 8. LIABILITY OF THE FOUNDATION

    1. 8.1. The Foundation shall be liable for any breach of the terms of this Offer and/or the Agreement, as well as for the use of charitable donations in violation of the procedure established by the Foundation’s statutory activities and the legislation of Ukraine, in accordance with the applicable laws of Ukraine.

  9. 9. CONFIDENTIALITY AND PERSONAL DATA PROTECTION

    1. 9.1. By accepting this Offer, the Donor confirms that they have read and agree to the collection and processing of their personal data.

    2. 9.2. The Foundation processes the Donor’s personal data provided during the visit to the Site and/or while making a monetary transfer (hereinafter – personal data) for the proper execution of this Offer and/or the Agreement, as well as for its statutory activities. Detailed information on the procedure for processing personal data by the Foundation is provided in the Privacy Policy.

    3. 9.3. The Foundation undertakes not to disclose information about Donors to third parties, except in cases provided for by the applicable laws of Ukraine.

    4. 9.4. The Foundation shall not be liable for the disclosure of personal data resulting from illegal actions of third parties or in cases where such disclosure occurred with the Donor’s consent.

  10. 10. TERM AND PROCEDURE FOR AMENDMENTS TO THE OFFER

    1. 10.1. This Offer becomes effective from the moment it is posted on the Site and remains effective until the liquidation of the Foundation, unless a different term is determined by the Foundation. The provisions of this clause also apply to additions (amendments) to the Offer.

    2. 10.2. The Foundation reserves the right to amend the terms of the Offer without the Donor’s consent. The Organization retains the right to unilaterally change the terms of the Offer at any time, without any restrictions, by publishing a new version of the Offer on the Site.

    3. 10.3. The Donor is obliged to independently monitor changes to the terms of the Offer by reviewing the current (updated) version posted on the Site.

  11. 11. OTHER PROVISIONS

    1. 11.1. The relations between the Donor and the Foundation shall be governed by the provisions of the applicable laws of Ukraine.

    2. 11.2. In case of disputes arising between the parties to this Agreement, they shall be resolved through negotiations. If it is impossible to resolve the disputes through negotiations, the disputes shall be referred to the courts in accordance with the procedure established by the applicable laws of Ukraine.
